GAI is not an investment bank or regulated financial intermediary
GlobalAutoIndustry.com / HCI Group Ltd. (“GAI”) is an automotive industry media, market-access and business-introduction platform. GAI is not an investment bank, broker-dealer, securities dealer, investment adviser, placement agent, valuation firm, lender, private equity firm, venture capital firm or funding provider, and does not hold itself out as any of these. Nothing on this website should be interpreted as an offer or agreement to provide such services.
What GAI does not do
GAI does not provide legal, tax, accounting, valuation, securities, investment, financing or transaction advice. GAI does not solicit investors, raise capital, place securities, recommend securities transactions, negotiate price, structure or transaction terms, prepare or negotiate letters of intent or definitive agreements, bind any party to a transaction, or receive, hold, transmit or control transaction funds or securities. GAI does not form or organize groups of buyers or investors.
Role limited to introductions and market access
GAI’s role is limited to helping qualified parties become aware of one another and, where appropriate, facilitating an initial introduction. Once parties are introduced, the transaction is handled by the parties and their own licensed professional advisors — including attorneys, accountants, investment bankers, M&A advisors, valuation firms and, where applicable, registered broker-dealers.
Opportunities and listings
Any opportunities, listings or summaries presented by GAI are general industry information only and are not offers, solicitations, recommendations or endorsements. GAI does not verify financial information, provide valuation guidance, or guarantee the accuracy, completeness or availability of any opportunity. Detailed information is shared only under appropriate confidentiality protocols and through the parties or their authorized advisors. Some opportunities may not qualify for any broker-dealer registration exemption; where required, GAI limits its role to non-securities, non-advisory introductions or involves appropriately licensed broker-dealers, investment banks, M&A advisors, attorneys or other regulated professionals.
Compensation
GAI’s compensation is agreed in advance and documented in writing, and may include market-access, promotional, research, referral or introduction fees. Any transaction-related compensation, where applicable, is handled only where legally permissible and subject to review by appropriate legal and transaction professionals. GAI does not receive, hold, transmit or control transaction funds or securities.
No securities or investment activity
GAI does not solicit investors, raise capital, place securities or act as a placement agent. Any capital-raising, financing, securities issuance or investment-advisory activity must be handled by appropriately licensed professionals. Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security, or investment advice of any kind.
Responsibility of the parties
All transaction decisions, due diligence, negotiations, documentation, financing, regulatory and legal compliance, and closing obligations are the sole responsibility of the parties and their licensed professional advisors. Registration or licensing requirements, including federal and applicable state requirements, are the responsibility of the parties and their advisors.
